Terms of Use & End User License Agreement

This End User License Agreement ("Agreement") is a binding contract between you ("User" or "you") and Purple Llama LLC ("Purple Llama", "we", "us", or "our") governing your use of the Donor Match mobile application and any related services (collectively, the "App"). By downloading, installing, or using the App, you agree to be bound by this Agreement. If you do not agree, do not download, install, or use the App.
1. License Grant
Subject to your compliance with this Agreement, Purple Llama grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on a device that you own or control, solely for your personal, non-commercial use.
2. Eligibility
You must be at least 18 years old to use the App. By using the App, you represent and warrant that you are 18 or older and that you have the legal capacity to enter into this Agreement.
3. Account Registration
To use most features of the App you must create an account using Sign in with Apple, a Google account, or another supported provider. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to keep your profile information up to date.
4. Subscriptions, Credits & Auto-Renewal
The App offers an auto-renewing subscription ("Donor Match Pro") and one-time consumable credit packs for AI features. All purchases are processed through the Apple App Store or Google Play, and are subject to the store's terms in addition to this Agreement.
- Pricing. Donor Match Pro is offered at the price shown in the App at the time of purchase (currently US$9.99 per month, subject to local pricing and taxes).
- Billing. Payment will be charged to your Apple ID or Google account at confirmation of purchase.
- Auto-renewal. Your subscription automatically renews for the same period at the then-current price unless you cancel at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period.
- Managing and cancelling. You can manage or cancel your subscription at any time in your Apple ID or Google Play account settings. Deleting the App does not cancel your subscription.
- Credits. AI credits are consumable in-app purchases. They are non-refundable, do not expire while your account is active, and have no cash value.
- Refunds. Refunds, where available, are handled by Apple or Google according to their respective policies. Purple Llama does not directly process refunds for in-app purchases.
5. User Content & Conduct
You are solely responsible for the content you upload, post, or share through the App, including profile photos, bios, messages, and any medical records or health-related documents ("User Content"). You represent and warrant that you have all rights necessary to share your User Content and that it does not violate any law or the rights of any third party.
You agree not to:
- Impersonate any person or misrepresent your identity or affiliation;
- Upload nude, sexually explicit, harassing, hateful, or otherwise inappropriate content;
- Use the App for any commercial solicitation, spam, fraud, or illegal activity;
- Attempt to reverse engineer, decompile, or otherwise extract the source code of the App;
- Use any automated system (bots, scrapers, etc.) to access the App;
- Interfere with the security or normal operation of the App.
We reserve the right to remove User Content and suspend or terminate accounts that violate this Agreement, at our sole discretion.
6. Medical Information Disclaimer
Donor Match is not a medical service and does not provide medical advice, diagnosis, or treatment. Any information exchanged between users — including medical records — is provided by users themselves, and Purple Llama does not verify its accuracy. You are solely responsible for verifying the identity, health status, and qualifications of any person you connect with through the App, and you should consult licensed medical and legal professionals before making any decisions related to donation, conception, or co-parenting.
7. Verification
Profile verification is performed using user-submitted photos and is intended to reduce, but not eliminate, the risk of fake profiles. A verified badge is not a guarantee of identity, character, or fitness. You acknowledge that interactions arranged through the App occur at your own risk.
8. Intellectual Property
The App, including all software, designs, text, graphics, and trademarks (other than User Content), is owned by Purple Llama LLC and is protected by intellectual property laws. You retain ownership of your User Content but grant Purple Llama a worldwide, non-exclusive, royalty-free license to host, display, and use your User Content solely as necessary to operate and improve the App.
9. AI Features
The App includes AI-generated content ("AI Baby" images and trait descriptions). AI outputs are illustrative and for entertainment purposes only. They are not predictions of any real child's appearance, health, or characteristics, and should not be used as a basis for any medical or family-planning decision.
10. Termination
You may stop using the App at any time and delete your account from within the App. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated this Agreement. Sections that by their nature should survive termination (including disclaimers, limitations of liability, and dispute provisions) will survive.
11. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PURPLE LLAMA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PURPLE LLAMA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PURPLE LLAMA IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) US$50.
13. Indemnification
You agree to defend, indemnify, and hold harmless Purple Llama LLC and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the App, your User Content, or your violation of this Agreement.
14. Apple-Specific Terms
If you accessed or downloaded the App from the Apple App Store, the following additional terms apply:
- This Agreement is between you and Purple Llama only, not with Apple. Apple is not responsible for the App or its content.
- The license granted to you is limited to use of the App on Apple-branded products that you own or control, as permitted by the Apple Media Services Terms.
- Apple has no obligation to provide maintenance or support for the App.
- In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App; to the maximum extent permitted by law, Apple has no other warranty obligation.
- Purple Llama, not Apple, is responsible for addressing any claims by you or any third party relating to the App.
- Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you.
15. Governing Law & Disputes
This Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. You and Purple Llama agree to resolve any dispute arising out of or related to this Agreement or the App through binding individual arbitration, except that either party may bring an individual claim in small-claims court. You waive any right to participate in a class action.
16. Changes to this Agreement
We may update this Agreement from time to time. If we make material changes, we will notify you through the App or by other reasonable means. Your continued use of the App after the changes take effect constitutes your acceptance of the updated Agreement.
